Terms of service
コマースメディア株式会社（以下、「当社」といいます。）が定める「poled利用規約」（以下、「本規約」といいます。）は、 当社が「poled」の名称で運営するサービス（以下、「本サービス」といいます。）の利用に関する諸条件を、本サービスを利用するお客様（以下、「お客様」といいます。）と当社との間で定めるものです。
本ウェブサイトはpoled製品日本総代理店の当社が運営しています。お客様は、本サービスを利用するにあたり、本規約を遵守しなければなりません。
また、本規約は、本サービスのすべての利用者（お客様、販売業者、卸売業者、コンテンツ投稿者を含む）に適用されます。
第１条 規約同意
- お客様は、本サービスを利用するにあたって、本規約（プライバシーポリシー等本規約に関連する規約を含みます。以下同じ。）に有効かつ取消不能な同意をするものとし、本サービスの利用を開始することによって、本規約に同意したものとみなされます。
- お客様が未成年者である場合は、必ず親権者等法定代理人の本規約への同意を得たうえで本サービスを利用するものとし、本サービスの利用を開始することによって、親権者等法定代理人の同意を得たものとみなされます。
- 本規約の一部が法令等により無効と判断された場合であっても、当該無効とされた部分以外の規定は引き続き有効に存続するものとし、存続する部分についてのお客様の同意も有効に存続するものとします。
- 当社は、必要に応じて、いつでも本規約を変更できるものとします。お客様は、本規約の変更後、引き続き本サービスを利用した場合は、本規約の変更に同意したものとみなされます。
第２条 本サービスの利用
- 本サービスの利用にあたって、お客様は、必要な情報を入力又は登録する必要があります。入力又は登録する情報に誤りがないよう正しい情報を入力しなければならず、当該情報に誤りがあったことによるお客様への損害や不利益について、当社は一切責任を負いません。当社は、以下のいずれかに該当すると判断した場合は、お客様に対して事前に通知することなく、本サービスの全部又は一部の利用を停止、売買契約の取り消しその他必要な措置をとることができるものとします。
(1) 入力情報に誤りがあり、連絡がとれない場合
(2) 暴力団等反社会的勢力、これらの者と密接な関係を有する者である場合
(3) 支払能力がない場合、債務超過、無資力、破産手続開始、民事再生手続開始、会社更生手続開始、特別清算開始、その他の倒産手続開始の申立てが行われた場合、解散を決議した場合、または営業休止状態である場合
(4) 過去に本規約に違反し本サービスの利用の停止処分を受けたことがある者である場合
(5) 法律行為を有効に行う能力を有していない場合
(6) 決済事業者等から、お客様の本サービスの利用を停止する要請があった場合
(7) 決済事業者等から、決済又は収納代行サービスの利用停止措置が取られた場合 - 本サービスを利用するにあたり、お客様はご自身の責任と費用負担で、必要な通信環境及び端末機器を用意するものとし、当社はこれらに起因する事項について一切責任を負いません。
- お客様は、ご自身の判断、責任、費用負担で本サービスを利用するものとします。
- 本サービスを利用するにあたり、商品等の代金、消費税、配送料、支払方法による手数料等の他本サービスの利用料が発生することはありません。ただし、個別の商品等詳細ページに定めがある場合は、その定めに従うものとします。
- 当社は、お客様が、暴力団等反社会的勢力、これらの者と密接な関係を有する者、これらに準ずる者に該当すると判断した場合は、事前にお客様に対して通知することなく、本サービスの利用の停止を行うことができるものとします。なお、当該停止によってお客様に生じた損害については、一切責任を負いません。
- 当社は、当社の判断により、いつでも本サービスの全部又は一部の終了又は変更を行うことができるものとします。
- 天変地異等の不可抗力、その他当社が必要と判断する場合は、事前にお客様に対して通知を行うことで、本サービスの全部又は一部の提供を取りやめることができるものとします。ただし、緊急を要する場合は、お客様に対する事前の通知を省略することができるものとします。
- お客様は、決済事業者等がシステム障害、天変地異等の不可抗力、その他必要と判断したことにより、本サービスの全部又は一部の提供を中断又は取りやめることがあることを承諾します。
- 前３項によって生じたお客様の損害や不利益について、当社は一切責任を負いません。
第３条 商品等の購入・支払
- お客様により商品等の購入の申し込みは、インターネット回線を通じて当社のサーバに受信された後、当該申し込みの内容が当社のシステムに記録され、当社が定める方法で当社が承諾の通知を発信した時点で売買契約が成立するものとします。なお、当社は、お客様による申し込み内容が、当社のシステムに記録されなかったことによるお客様の損害や不利益については、一切責任を負いません。
- お客様による商品等の購入は、売買契約が成立した後は、取り消すこと又は解除することができません。
- 売買契約成立後、お客様は、別途当社が定める方法に従い、期限までに商品等の代金を支払うものとします。当該期限までに商品等の代金の支払が行われなかった場合は、当社は売買契約を解除することができるものとします。
- お客様が購入された商品等の所有権は、当該商品等をお客様に引き渡した時点で、お客様に移転するものとします。本規約で別途規定される事項を除き、所有権が移転した後に生じた事由について、当社は責任を負いません。
第４条 配送・返品・交換・返金
- 当社は、お客様に対し、所定の方法でお客様が入力した日本国内の住所に、当社と提携する配送会社を介して、商品等を配送します。配送に関する事項については、別途当該配送会社が定める条件に従うものとします。
- 配送料は、原則としてお客様が負担するものとしますが、個別の商品ページで定める場合は、これに従うものとします。
- 商品等に欠陥がある場合又は申し込みを行った商品等と異なる商品等が配送された場合に限り、交換を行うことができるものとします。
- 製品の動作不良に関しては製品ごとの保証期間に準じてパーツの交換、製品交換の対応となります。 なお、同一商品の手配が不可能など交換に応じることができない場合がございます。 その際は返金にて何卒ご了承ください。また、お客様希望の返品は原則として承っておりません。 以下の場合は、交換対応をすることができませんので、ご注意ください。その他商品等詳細ページで定められた条件がある場合は、当該条件に従うものとします。
- (1) 商品等の到着から７日が経過した場合
- (2) 商品等、タグ、パッケージ等の紛失・破損・汚損等された場合
- (3) 返品目的での購入と当社が判断した場合
第５条 禁止行為
- 当社は、お客様に対して、お客様が本サービスを利用するにあたり、以下の行為（以下、「禁止行為」といいます。）を禁止します。
(1) 本規約、法令等に違反する行為
(2) 虚偽の登録、第三者へのアカウントの貸与、第三者のアカウントを使用する行為
(3) 転売利益を得る目的で商品等を購入する行為
(4) 公の秩序又は善良の風俗を害する行為
(5) 第三者の権利を侵害する行為、当社又は第三者に対する誹謗中傷、名誉・信用を毀損する行為、その他当社の営業を妨害する行為
(6) 本サービスを宣伝広告活動等に利用する行為
(7) 取引の意思を持たない申込み、商品等の代金を支払う資料がないにもかかわらず、商品等を購入する行為
(8) 風説を流布し、偽計を用い、又は威力を用いる行為、法的な責任を超えた不当な要求行為、暴力又は脅迫的な言動を用いる行為
(9) 当社のサーバやネットワークシステムに支障を与える行為 - 当社は、お客様が前項各号に定める禁止行為を行ったと判断した場合は、事前にお客様に対して何らの通知を行わず、お客様の本サービスの利用を停止することができるものとします（売買契約の解除、申し込みの取り消し、その他当社が必要と判断する措置を含みます。）。なお、この場合、お客様に生じた損害又は不利益について、当社は一切責任を負いません。
第６条 情報の取扱い
- 当社は、当社が定めるプライバシーポリシーに従い、適切に、本サービスの利用に関するお客様の個人情報を取り扱います。
- 当社は、お客様の登録情報、取引履歴、その他本サービスの不正利用の調査・犯罪捜査に必要な情報を、必要に応じ、決済事業者、収納代行業者、不正利用の被害者および捜査機関に対して、開示することができるものとします。
第７条 免責事項
- 当社は、本サービスに事実上又は法律上の瑕疵、安全性、信頼性、正確性、完全性、有効性、特定の目的への適合性、セキュリティなどに関する欠陥、エラーやバグ、権利侵害等がないこと、商品等の品質、機能、他の商品との適合性について明示的にも黙示的にも保証しません。
- 消費者契約法の適用により、当社の免責が制限される場合であっても、当社の責めに帰する事由によって生じたお客様の損害については、商品等の代金又は１万円のいずれか低額である金額を上限とします。
第８条 連絡手段
- 当社は、お客様に対して通知又は連絡を行う必要があると判断した場合は、当社が適切と判断する方法で通知又は連絡を行うものとします。お客様は、当該通知又は連絡を行うために、当社が登録情報を利用することに同意するものとします。

第９条 準拠法・裁判管轄
- 本規約は、日本法に準拠するものとします。
- 当社とお客様との間で生じた紛争については、訴額に応じて、東京簡易裁判所又は東京地方裁判所を第一審の専属的合意管轄裁判所とします。
